About the Job Opportunity
Subject Matter Specific: Antitrust
The Assistant Manager-Anti-trust and Competition Laws will be specifically responsible for developing, monitoring, and improving the global antitrust compliance program – both at the market level and in support of the global program.
Role and Responsibilities
- Development of Business Knowledge and Relationships for Risk identification
- Form key connection with partners in the Legal team and will execute program elements and decisions in appropriate collaboration with Legal. In this regard, the SME will develop a productive partnership with Legal that enables program elements to progress at speed including remaining informed on business challenges/questions for the purpose of program improvement. The partnership should also serve to help the business receive rapid and informed legal advice.
- Take steps to become and remain familiar with details of relevant business processes including
- All existing lines of business and competitive landscape, company strategies and methods of communicating/documents on same new business initiatives,
- processes for gathering competitive intelligence,
- extent of company participation in industry meetings,
- nature of negotiation and contracting strategies + language of template contracts
- key vendor/supplier programs/fees/penalties
- supply chain processes
- any participation in bids or solicitation of tenders
- Form key connections with business partners. Specifically, MSME will schedule and attend meetings with business partners at sufficiently regular intervals to remain informed on relevant changes to business processes or strategies.
- Build strong partnerships with Ethics and Investigation teams in order to ensure these teams have proper issue-spotting training; and in order to strengthen the escalation, reporting, detection and accountability aspects of the compliance program.
- The goal is to be a known resource for competition law compliance – the business should consider the person as responsive, solutions-focused, and adding efficiencies and speed while minimizing risk.
- Provide timely and effective communication (reports and presentations) to senior leadership and other identified stakeholders as appropriate.
- Risk Identification and Assessment
- Leverage the Global program structure to identify all relevant risks and related business activities. This document will be re-evaluated at minimum annually.
- Be “productively paranoid” about risk, and continually challenge whether the program adequately addresses new business areas/conduct.
- Conduct horizon scanning, internally and externally, for emerging risks. This includes:
- remaining connected to industry trends and best practices (e.g. regulator public comments on program development/expectations, law firm publications or conferences)
- remaining informed on developments or changes to market competition laws, regulator guidelines/guidance, and enforcement practices and tracking same.
- Support the annual risk assessment process by:
- Scoring global (and, as applicable, market) risks, following the provided global matrices and playbook/guidance, and documenting rationale for scores.
- Recommending focus topics for “in-market” risk assessment weeks and preparing accordingly in collaboration with GSME.
- Working to close, in a timely manner, all action plans.
- Standards and Controls
- Ensure full implementation, awareness and ongoing updates to Global Policy and all program standards, procedures, protocols, controls, etc.
- Where applicable, MSME will evolve existing guideline documents into clear and mandatory business-facing standards and will develop new market level standards, protocols, processes and controls in alignment with GSME as required.
- Ensure full implementation of management system and will support required updates as necessary.
- Recommend and implement supplemental controls per market need.
- Training and Awareness
- Maintain and refine company-wide training audience needs assessment at least annually.
- Develop, enhance, and facilitate training content to all relevant audiences, meeting any global training program requirements
- Develop annual awareness calendar to ensure coverage of major risks and communications to lower risk audiences.
- Responsible for continued improvement of training content to ensure relevant and accuracy to laws and business activities.
- Monitoring and Response
- Develop, execute and continually enhance processes to measure and track key performance indicators to provide a credible measurement or validation of risk levels and program effectiveness. This includes but is not limited to an annual, proactive monitoring of business communications (emails).
- MSME will leverage metrics in risk assessment process.
Eligibility
- Law degree from accredited university.
- Demonstrated knowledge of market antitrust/competition laws
- Demonstrated knowledge of market competition law regulator(s) and enforcement agency(ies) (enforcement practices and priorities, relevant precedents, etc.)
- Desirable:
- [Asset] 5+ years advising on antitrust/competition laws
- [Asset] Demonstrated experience developing compliance programs including training facilitation and monitoring to ensure program effectiveness
